Matrix-36 Marketplace: Customer Terms of Supply

Please read these terms and conditions of supply carefully before accessing, using, or obtaining any materials, information, products, or services provided by Matrix-36 Marketplace. By accessing the Matrix-36 Marketplace website or any other feature of the Matrix-36 Marketplace platform, you agree to be bound by these terms and conditions. (Terms of Supply)

User Registration

You will be required to register with Matrix-36 Marketplace. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

By using Matrix-36 Marketplace, you represent and warrant that:

  • All registration information you submit will be true, accurate, current, and complete.
  • You will maintain the accuracy of such information and promptly update such registration information, as necessary.
  • You have the legal capacity, and you agree to comply with these Terms and Conditions.
  • You will not access Matrix-36 Marketplace through automated or non-human means, whether through a bot, script, or otherwise.
  • You will not use Matrix-36 Marketplace for any illegal or unauthorised purpose.
  • Your use of Matrix-36 Marketplace will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we retain the right to suspend or terminate your account and refuse any and all current or future use of Matrix-36 Marketplace (or any portion thereof).

Order Processing Policy

Matrix-36 Marketplace serves as a safe and reliable hub for convenient and efficient transacting between all stakeholders of the pharmaceutical supply chain. It provides a convenient and fast avenue for pharmaceutical retailers to source and procure pharmaceutical products from a wide range of inventory by manufacturers and distributors and at competitive rates. Upon order placement, a user generates an Electronic Purchase Order (EPO) which will have to be validated by a Matrix-36 Marketplace administrator before the order can be processed. The delivery schedule is based on the time of order placement, however, will fall within one of the following slots:

  • 9:30AM – 12:30PM Delivery Slot
  • 11:30AM – 2:30PM Delivery Slot
  • 1:30PM – 4:30PM Delivery Slot
  • 3:30PM – 7:00PM Delivery Slot

If there are any changes for reasons beyond our control, your business will be notified accordingly.

Return and Exchange

Conditions for Return or Exchange

Only the following reasons are considered valid for a return or exchange of any given product.

  • Wrong Product - If a product delivered to your business is different from the ordered product.
  • Expiry Date - If a product delivered to your business is expired or is within 12 months of expiry and there was no prior notice of the expiry date.
  • Production Error or Batch Error - If a product delivered to your business has production or batch error from the manufacturer or if there is a recall for a batch.
  • Damaged or Defective Product - If a product delivered to your business is damaged or defective.

Matrix-36 Marketplace reserves the right to waive the above conditions and process returns that do not meet the above reasons and criteria, however this will be based on our discretion. A return charge of N2,500 could also be billed to the customer when the return does not meet the return criteria as this covers the logistics expense, however this only applies to door delivery transactions.


Return Fraud and Penalty

Return fraud will be defined as the use of deceptive methods to abuse or take advantage of the return process maliciously to gain credit or money or goods. Matrix-36 Marketplace frowns on return fraud, and businesses will be penalised for it. If your business is suspected of return fraud, an investigation will be launched to ascertain the situation and your business will be monitored very closely to prevent subsequent reoccurrence. If there is a repeat, the business will be issued a warning notice and the business account on the platform will be flagged. Any occurrence after this would result in the guilty business being barred from the platform and the account deleted.


How will a Return or Exchange be Initiated?

What Products can be Retuned or Exchanged?

All Products but cold chain products, medical consumables and discounted products can be returned or exchanged.


When will Items be Returned or Exchanged?

The product(s) to be returned or exchanged must be returned within 3 working days after delivery.


Duration to Process Returns or Exchanged Product(s)

A maximum of 5 working days, after return is initiated, will be used to process and resolve a return.

In what conditions can Items be Returned?

Except in cases of a Production or Batch Error as well as Damaged or Defective products, all products sent for return or exchange:

  • Must be returned in the same condition that they were received.
  • Must be returned in the original package.
  • Must have no visible signs of wear or use.
  • Must be returned with a copy of the purchase invoice.

What will Products be Returned for?

For returns that meet the required reasons and criteria for a valid return, payment reimbursement or reversals can be done after the return process is finalised, in-store credits as well as exchange for other products could also come into play. For returns that do not meet the required criteria, the product(s) can only be returned for in-store credit or in exchange for other product(s).

Payment Policy

There are two methods of payment. They include:

Non-credit transactions – This includes the following payment options:

  • Online Transfer – The bank account details of Drug-IT Solutions can be found on the payment section of the check-out page on the Matrix-36 Marketplace platform as well as at the base of every Matrix-36 Marketplace invoice.
  • Payment Gateway – This is to enable different payment means such as card payment, USSD code payment, bank transfer as well as other means.
  • Payment on Delivery – This is via cash or cheque (current day dated). Cash limit is a maximum of ₦50,000.
  • Matrix-36 Marketplace Wallet – This option allows for funds preloaded by users to be used to carry out purchases on the platform.

Credit Transactions

Credit transaction is granted to credit-worthy businesses with approved credit access application. Credit payments can be made via online transfer to the bank account details of Drug-IT Solutions Limited made available on the invoice and on the platform, or via cheque payment made payable to DRUG-IT SOLUTIONS LIMITED.

Credit option allocation is based on an agreement between Drug-IT Solutions and the customer. The different credit options available include:


Weekly – Sunday to Saturday. Transactions are pooled from Sunday to Saturday.

  • Statement Distribution:Electronic and physical copies of the transaction statement highlighting transactions from Sunday to Saturday must be sent to the procurement/invoicing/finance personnel or unit of the customer before 10 AM on Monday.
  • Distributed Statement Reconciliation: Between 12 PM and 5 PM on Monday, customer will be contacted to find out if there are any discrepancies or objections to the content of the statement. If there are, they will be resolved on or before 10 AM on Tuesday.
  • Payment Timeline:Payment is expected to be made on or before 10 AM on Wednesday.
  • Grace Period:A grace period of up to 5 PM on Wednesday.
  • Supply Halt: Payment default beyond the end of the grace period will trigger a supply halt until full payment is received.

Fortnightly (1st Cycle) – 1st - 15th day of the month.

Transactions are pooled from the 1st day of the month to the 15th day of the month.

  • Statement Distribution:Electronic (via email) and physical copies of the transaction statement highlighting transactions from the 1st day of the month to the 15th day of the month will be sent to the procurement/invoicing/finance personnel or unit of the customer on or before the 18th day of the month.
  • Distributed Statement Reconciliation: Between the 19th and 21st day of the month, customer will be contacted to find out if there are any discrepancies or objections to the content of the statement. If there are, they will be resolved on or before the 23rd day of the month.
  • Payment Timeline: Payment is expected to be made on or before the 28th day of the month.
  • Grace Period: A grace period of up to the 1st day of the following month (that is 3 days from the payment due date, 28th).
  • Supply Halt: Payment default beyond the end of the grace period will trigger a supply halt until full payment is received.

Fortnightly (2nd Cycle) – 16th – 30th/31st day of the month.

Transactions are pooled from the 16th day of the month to the 30th/31st day of the month.

  • Statement Distribution: Electronic (via email) and physical copies of the transaction statement highlighting transactions from the 16th day of the month to the 30th/31st day of the month will be sent to the procurement/invoicing/finance personnel or unit of the customer on or before the 3rd day of the following month.
  • Distributed Statement Reconciliation:Between the 4th and 6th day of the following month, customer will be contacted to find out if there are any discrepancies or objections to the content of the statement. If there are, they will be resolved on or before the 8th day of the following month.
  • Payment Timeline: Payment is expected to be made on or before the 13th day of the following month.
  • Grace Period: A grace period of up to the 16th day of the following month (that is 3 days from the payment due date, 13th).
  • Supply Halt: Payment default beyond the end of the grace period will trigger a supply halt until full payment is received.

Monthly (1st Cycle) – This is a 30-day credit period and the maximum allowable credit period.

Transactions are pooled on a fortnightly basis, from the 1st day of the month to the 15th day of the month.

  • Statement Distribution: Electronic (via email) and physical copies of the transaction statement highlighting transactions from the 1st day of the month to the 15th day of the month will be sent to the procurement/invoicing/finance personnel or unit of the customer on or before the 21st day of the month.
  • Distributed Statement Reconciliation: Between the 23rd and 25th day of the month, customer will be contacted to find out if there are any discrepancies or objections to the content of the statement. If there are, they will be resolved on or before the 27th day of the month.
  • Payment Timeline: Payment is expected to be made on or before the 7th day of the next month.
  • Grace Period: A grace period of up to the 10th day of the month (that is 3 days from the payment due date, 7th).
  • Supply Halt: Payment default beyond the end of the grace period will trigger a supply halt until full payment is received.

Monthly (2nd Cycle) – This is a 30-day credit period and the maximum allowable credit period.

Transactions are pooled on a fortnightly basis, from the 16th day of the month to the 30th/31st day of the month.

  • Statement Distribution: Electronic (via email) and physical copies of the transaction statement highlighting transactions from the 16th day of the month to the 30th/31st day of the month will be sent to the procurement/invoicing/finance personnel or unit of the customer on or before the 7th day of the following month.
  • Distributed Statement Reconciliation: Between the 9th and 11th day of the month, customer will be contacted to find out if there are any discrepancies or objections to the content of the statement. If there are, they will be resolved on or before the 13th day of the month.
  • Payment Timeline: Payment is expected to be made on or before the 23rd day of the month.
  • Grace Period: A grace period of up to the 26th day of the month (that is 3 days from the payment due date, 23rd).
  • Supply Halt: Payment default beyond the end of the grace period will trigger a supply halt until full payment is received.

How Your Business Can Gain Credit Access

Credit transactions can be granted to credit-worthy businesses with approved credit access application. The criteria to be met by customers to gain credit access include:

  • Credibility – Your business must be proven to be highly credible with regards to transactions on the platform and after proper due diligence.
  • Long-time Customer – In addition to credibility, customers who have partnered with Drug-IT Solutions for a minimum of six (6) months and carried out a minimum of six (6) successful transactions can gain access to some credit facility.
  • Limited Liability Company – In addition to the above options, businesses who request credit facilities must be limited liability companies.


How Credit Limit is Set

If the above three factors are satisfied, then your business will be given a credit limit based on average monthly purchases. If there is a request for the credit limit to be increased, a cover letter, bank reference and 6-months bank statement of the business must be provided unless otherwise waived by Drug-IT Solutions Limited. The credit limit for your business, if approved, will be communicated via a written credit notice.


Length of Time for Credit Validity

Credit duration is based on a mutual agreement between the business and Drug-IT Solutions Limited; the agreed upon duration, as well as credit limit, will be included in the written credit notice. The agreed credit duration will be used to calculate the payment due date for every credit transaction invoice and this date will be indicated on the customer invoice.


Credit Payment

A credit sales report will be sent physically and/or electronically, weekly, or bi-weekly; it shall carry all unpaid customer invoices, stating the payment due date. Reminder notices will be sent accordingly to ensure that the payment due date is not exceeded as failure to pay will result in a credit payment default.


Actions to be Taken in the Event of Credit Payment Default

  • If your business defaults on the credit agreement two consecutive times, its credit limit could be reduced by 50 per cent.
  • If your business defaults on the credit agreement three consecutive times, its credit access will be revoked.
  • If there are requests for credit facility to be restored, then your business will be placed on probationary credit access for at least six months.
  • During this period, the credit limit will be set at 50 per cent of the initial credit limit.
  • If your business complies during this probationary period, then the original credit limit can be granted upon reapplication.

Copyrights and Intellectual Property

Unless otherwise indicated, Matrix-36 Marketplace is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on Matrix-36 Marketplace (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the Federal Republic of Nigeria, foreign jurisdictions, and international conventions. The Content and the Marks are provided on Matrix-36 Marketplace “AS IS” for your information and personal use only. Except as expressly provided in these Terms and Conditions, no part of Matrix-36 Marketplace and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission. Provided that you are eligible to use Matrix-36 Marketplace, you are granted a limited license to access and use Matrix-36 Marketplace and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use. We reserve all rights not expressly granted to you in and to Matrix-36 Marketplace, the Content, and the Marks.

Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of Matrix-36 Marketplace at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Site. We also reserve the right to modify or discontinue all or part of Matrix-36 Marketplace without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of Matrix-36 Marketplace. We cannot guarantee Matrix-36 Marketplace will always be available. We may experience hardware, software, or other problems or need to perform maintenance related to Matrix-36 Marketplace, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify Matrix-36 Marketplace at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use Matrix-36 Marketplace during any downtime or discontinuance of Matrix-36 Marketplace. Nothing in these Terms and Conditions will be construed to obligate us to maintain and support Matrix-36 Marketplace or to supply any corrections, updates, or releases in connection therewith.

Corrections

There may be information on Matrix-36 Marketplace that contains typographical errors, inaccuracies, or omissions that may relate to Matrix-36 Marketplace, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on Matrix-36 Marketplace at any time, without prior notice.

Suspension and Termination of Account

By You

Though we advise that you just let it be, you can delete your business account at any time through your Accounts Page. This will result in the deactivation of your business account and access to it. Termination will be confirmed immediately. If you have made any orders or paid for any products as at the time you delete the account, the orders will be cancelled and there will be no refunds.


By Matrix-36 Marketplace

Matrix-36 Marketplace may terminate your business account for any reason by providing a seven-day written notice to you and will provide a refund of payment of orders that will not be processed during that period. Matrix-36 Marketplace may suspend or terminate your account for a breach in the rules of engagement on this platform as stated in this article.


These Terms and Conditions shall remain in full force and effect while you use Matrix-36 Marketplace. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS AND CONDITIONS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF MATRIX-36 MARKETPLACE (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS AND CONDITIONS OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN MATRIX-36 MARKETPLACE OR DELETE [YOUR ACCOUNT AND] ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.


If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.
